Requirements and Standards for Establishing a Company in Saudi Arabia for Foreigners

Establishing companies in Saudi Arabia for foreigners has two aspects: either the company is mixed with a Saudi partner, or it is 100% foreign-owned. In all cases, establishing the company requires an investment license for the foreigner according to their activity. The Executive Regulations of the Foreign Investment Law specify the conditions and controls for granting licenses, which can therefore be considered as requirements for establishing a company in Saudi Arabia for foreigners:

1- The technical specifications of the product and its production method must comply with Saudi, Gulf, or international standards.

2- The foreign partner must be the owner of a company outside the Kingdom of Saudi Arabia.

3- The license applicant must comply with the terms, controls, declarations, and commitments attached to the investment license application form.

4- The license applicant must not have previous judgments issued against them, including judgments related to financial or commercial violations inside or outside the Kingdom.

Steps to Establish a Company in Saudi Arabia for Foreigners

Foreign companies are allowed to obtain investment licenses to operate in the Kingdom, ensuring the rights and obligations required of them are fully met as for local investors. The investor is allowed to obtain various licenses, such as industrial, agricultural, commercial, consulting, and service licenses. To obtain an investment license, documents proving the reliability of the foreign company must be submitted, such as:

A copy of the commercial register approved by the Saudi Embassy

The company’s financial statements for the last fiscal year, which must be prepared by a globally recognized legal office and authenticated by the Saudi embassy.

The documents required vary depending on the type of activity, as some activities require additional licenses and approvals.

1- Legal Structure:

Determine the legal structure of the foreign company in the Kingdom of Saudi Arabia: Limited Liability Company (LLC), Joint Venture, Joint Stock Company (JSC), Regional Headquarters (RHQ), Technical and Scientific Services Office (TSSO).

2-Legal Documents:

Prepare and authenticate legal and accounting documents, including the commercial register, articles of association, incorporation contract, financial statements, and any partnership agreements if applicable.

3- MISA License:

Obtain the Ministry of Investment MISA license, a requirement for establishing a foreign-owned company in the Kingdom of Saudi Arabia.

4- Obtain Commercial Register:

The commercial register is a fundamental requirement to commence economic activities in the Kingdom of Saudi Arabia. Some economic activities require additional licenses from authorities and ministries in the Kingdom of Saudi Arabia.

5- Tax Registration:
